These Terms and Conditions (“Terms”) govern your access to and use of the website operated by Supply Chain Intelligence LLC (“Supply Chain Intelligence,” “we,” “us,” or “our”) and the consulting and advisory services we provide (“Services”). By accessing or using this website (“Site”) or engaging our Services, you agree to be legally bound by these Terms and by our Privacy Statement posted on the Site. If you do not agree, discontinue use immediately.

These Terms apply to all visitors, users, and clients. Additional terms contained in written proposals, purchase orders, statements of work, and engagement agreements (“Engagements”) apply to specific consulting engagements.

1. Nature of Services
Supply Chain Intelligence provides management consulting, advisory, and analytical services related to supply chain, logistics, transportation, operations, and related areas. Scope, deliverables, fees, and timelines for each Engagement will be confirmed in writing and mutually accepted before Services begin. Only Services expressly included in an Engagement are within scope.

2. Use of the Site
You may use the Site for lawful purposes only. You agree not to interfere with Site functionality or security systems; access systems or information without authorization; copy or distribute Site content without written consent; or use automated means to monitor or extract data. We may restrict or terminate Site access for unauthorized use.

3. User Accounts and Information
Certain Site features may require submission of personal information or account creation. You agree to provide accurate information and maintain confidentiality of account credentials. You are responsible for all activity under your account. Account registration and Site usage are subject to our Privacy Statement.

4. Cookies and Tracking Technologies

Fees for Services are specified in the applicable Engagement. Unless otherwise stated, invoices are due within thirty (30) days. Client is responsible for applicable taxes other than those based on our income. Late payments may accrue interest to the extent permitted by law, and we may suspend performance for non-payment. Client is responsible for reasonable expenses incurred during performance of Services unless stated otherwise in the Engagement.

6. Intellectual Property
Supply Chain Intelligence retains ownership of all methodologies, templates, tools, processes, software, and other intellectual property used or developed in performing Services. Upon full payment of fees, Client receives a non-exclusive, non-transferable license to use final deliverables solely for internal business purposes. Except where permitted by law or contract, you may not reproduce, republish, sell, rent, sub-license, or redistribute Site content.

7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or non-public information received during an Engagement and to use such information solely to fulfill obligations under the Engagement. Confidentiality obligations do not apply to information that is publicly available, independently developed, or lawfully obtained without restriction.

8. User-Generated Content
Where the Site allows posting of comments or submissions, you warrant that you hold necessary rights and that content posted does not infringe any intellectual property or privacy rights or include unlawful, defamatory, obscene, or abusive material. We do not pre-screen user-generated content and are not liable for content posted by third parties. We reserve the right to remove content violating these Terms.

By posting content, you grant Supply Chain Intelligence a non-exclusive license to use, reproduce, edit, and distribute such content in any medium for Site or Service-related purposes.

9. Linking Policy
Organizations may link to our Site using our corporate name or URL in a manner that is not misleading, does not imply sponsorship or endorsement, and is consistent with the linking party’s context. We may request removal of links at any time. Use of our logos or proprietary materials requires a written license agreement.

We are not responsible for content appearing on third-party websites linking to or from our Site. You agree to defend and indemnify us from claims related to third-party links originating from your site.

10. Disclaimer of Warranties
The Site, its content, and the Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Site will be uninterrupted or error-free, or that content is current or complete.

Consulting Services are advisory only. We do not guarantee specific performance, operational, or financial outcomes.

11. Limitation of Liability
To the maximum extent permitted by law, Supply Chain Intelligence shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, or business interruption. Total cumulative liability arising from an Engagement is limited to the aggregate fees paid under that Engagement. Certain jurisdictions prohibit exclusion of certain liabilities; in such cases, liability will be limited to the minimum permitted by law.

12. Termination
Either party may terminate an Engagement consistent with its terms or, where none are stated, upon written notice. Client remains responsible for fees incurred through the termination date. We may suspend or discontinue the Site or portions of it at our discretion.

13. Third-Party Content and Links
The Site may contain links to external websites or third-party content. We are not responsible for the availability, security, accuracy, or privacy practices of third parties. Users should review applicable third-party terms and policies.

14. Modifications
We may update these Terms or modify Site content at any time without notice unless otherwise required by law. Updates become effective upon posting. Continued Site use after changes constitutes acceptance of updated Terms.

15. Independent Contractor Status
Nothing in these Terms or in any Engagement creates a partnership, joint venture, employment relationship, fiduciary duty, or agency relationship. We operate solely as an independent contractor.

16. Governing Law
These Terms, the Site, and any disputes arising from use of the Site or Services will be governed by the laws of the jurisdiction specified in the applicable Engagement, without regard to conflict of law principles.

17. Entire Agreement and Severability
These Terms, together with our Privacy Statement and any applicable Engagement, constitute the entire agreement between the parties. If any provision of these Terms is held unenforceable, remaining provisions remain in full force.
